1. Proprietary Assets & Intellectual Property Portfolio
   
   

1.1 Ownership of the “FRUGARE Universe”

 FRUGARE LLC (“the Agency”) maintains exclusive and absolute ownership of its entire Intellectual Property Portfolio. This includes, but is not limited to:

• The Frugare Brand: All names, logos, slogans, and trade dress.
• The Character Universe: All current and future original characters, mascots, and fictional personas—including but not limited to “Fredo”—and all associated designs, names, catchphrases, backstories, and personality traits.
• Creative Assets: All custom animations, illustrations, specialized typography, and “world-building” elements created by the Agency.
  
  

1.2 Protection of “Future Works”

This protection extends automatically to any and all characters or assets developed by the Agency at any time, regardless of whether they were present at the start of a Client’s contract. Use of one asset does not imply a license to any other current or future asset within the FRUGARE LLC Portfolio.

1.3 Prohibition of Unauthorized Duplication & Derivative Works

The duplication, imitation, or creation of “Derivative Works” is strictly prohibited. An illegal act of infringement includes, but is not limited to:

• Character Cloning: Creating characters that mimic the “look and feel” or “distinctive delineation” of the FRUGARE LLC cast.
• Style Mimicry: Attempting to replicate the specific artistic style unique to the FRUGARE LLC platform for external commercial use.
• Unauthorized Merchandising: Any attempt to produce physical or digital goods (NFTs, apparel, etc.) featuring FRUGARE LLC characters.
  
  

1.4 Enforcement & Legal Recourse

Foresight Studios reserves the right to pursue all available legal remedies against any individual or entity that violates these terms. This includes seeking Statutory Damages for willful infringement and the immediate issuance of DMCA takedown notices for any digital content that utilizes or mimics our proprietary characters or designs. 

11. Third-Party Licensed Material & Non-Transferability
    
    

11.1 Provision of Licensed Assets

FRUGARE LLC (“the Agency”) may incorporate third-party intellectual property—including but not limited to royalty-free music, stock footage, sound effects, and fonts—into the final deliverables. The Agency warrants that all such assets are used under valid commercial licenses current at the time of production.

11.2 Non-Transferability of Licenses

Client acknowledges and agrees that all third-party licenses procured by the Agency are non-transferable. * Contextual Use Only: The license for any third-party asset (e.g., background music) is granted solely for use within the specific final video or deliverable produced by the Agency.

• Prohibition of Extraction: Client is strictly prohibited from extracting, downloading, or “stripping” third-party assets (such as music files) from the final deliverable for use in independent, external, or future projects.
• No Ownership Transfer: Purchase of Agency services does not constitute a transfer of ownership of any third-party copyrighted material. Ownership of such assets remains with the original creator or licensor.
  
  

11.3 Client Liability for Unlicensed Use

Should the Client repurpose, redistribute, or extract third-party assets for use outside of the original scope of the Agency’s deliverable, the Client assumes all legal and financial liability for copyright infringement claims. The Agency shall not be held responsible for any takedown notices, muting of audio, or legal action resulting from the Client’s unauthorized use of licensed material.

11.4 Request for Independent Licensing

If the Client desires to use a specific asset (e.g., a theme song) across multiple internal projects not produced by Foresight Studios LLC, the Client must procure their own independent commercial license for said asset. The Agency can provide the asset’s source information upon request to facilitate this process.
